A single discipline: structuring
Sila Finance designs and secures the legal and tax framework of interest-free financing. The offering is deliberately narrow, confined to this scope.
Sila Finance carries out no intermediation activity. It does not introduce third-party funders to project holders. The firm does not present funders, does not collect funds and receives no commission linked to the conclusion of a financing. The choice of funder and the commercial negotiation rest with the client.
Four steps
Framing
Review of your project, your tax position and your cash-flow constraints. Identification of the legal structures available.
Design
Choice of structure, drafting of the contractual architecture, checking that the real economic operation matches its legal translation.
Tax securing
Characterisation of the flows, treatment of the margin or the profit share, conditions for depreciating the financed asset, documentation that will stand up in a tax audit.
Delivery of the deliverable
Documented structure, draft deeds and a tax memorandum. These items remain usable by your regular lawyer or accountant.
The same discipline, applied to your situation
Fund business premises or professional equipment
The funder acquires the asset and then transfers it to you at a fixed price payable in instalments, or acquires it to make it available to you under a lease with a purchase option. The margin is fixed at signing and varies neither with time nor with any late payment.
Structure a new partner's entry without creating debt
The contribution is made as equity. The capital provider's return depends on the company's actual results, up or down. The exit terms, governance and profit-sharing arrangements are set by contract from the outset.
Restructure or exit an existing financing
We review the existing contract, the early-repayment charges and the security granted, then design the takeover structure best suited to your tax position and your cash flow.
